Terms of Service
Effective date: November 19, 2026. Last updated: November 5, 2026. Please read these terms carefully before using Snnel.
1. Acceptance of Terms
By accessing or using the Snnel platform ("Platform", "Service"), including the web application, mobile applications, marketplace, WhatsApp assistant or any associated APIs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you ("User", "you") and Snnel Technologies ("Company", "we", "us").
These Terms apply to business owners, their staff, shoppers, delivery riders, partners and visitors. Some sections apply only to some of these groups. If you use the Service for a business, you confirm that you have authority to bind that business.
2. Description of Service
Snnel is a business management platform for micro, small, and medium-sized enterprises (MSMEs) in Ghana and across Africa. Depending on your plan and country, the Service includes:
Selling: point of sale (POS), including offline use, receipt printing, orders, online storefronts, the Snnel marketplace, delivery, coupons, and connections to online shops such as WooCommerce and Shopify.
Stock and purchases: products, inventory, branches, batches, suppliers, and purchases.
Money: sales records, invoices, quotations, recurring invoices, receivables, expenses, assets, reports, cash flow tools, a document vault, wallet and payouts, connections to your own payment gateway, and bills and airtime.
Customers: customer records, loyalty points and store credit, birthdays, forms, and SMS, email, and WhatsApp messaging.
Staff: team roles, staff records, leave, payroll, payslips, and staff commission.
Growth: social media posting, a weekly plan, loan readiness and applications, published opportunities, and business verification.
AI features: tools that read documents and voice notes, answer questions about your business, write text, and clean up product photos, and the Snnel assistant on WhatsApp.
3. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of Ghana or the country you live in to use this Service. By registering, you represent and warrant that you meet these requirements. You need a valid phone number from a country we support. Some features are available only in some countries.
4. Account Registration and Security
You sign in with a one-time code or with a password you have set. In Ghana, codes are sent by SMS, WhatsApp, or email. Outside Ghana, codes are sent by email, to the address on your account. Too many wrong tries can pause sign-in for a while. You are responsible for keeping your phone, email, codes, password, and account session safe, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or suspected security breach. Snnel will never ask for your code or password by phone call, email, or chat. Treat any such request as fraudulent.
You must give accurate details and keep them up to date. Business owners decide what their staff can do, and are responsible for what staff do under the business's account.
5. Plans, Billing, and Renewals
Plans: we offer a free plan with limits, and paid plans and add-ons with more features. Plan contents and limits are shown in the app and can differ by plan. We may change the free plan's limits.
Prices: prices are shown at the point of purchase and charged in Ghana Cedis (GHS) unless otherwise stated. Amounts shown in another currency are estimates based on exchange rates. We may change prices upon 30 days' written notice. A price change does not affect a term you have already paid for.
No automatic renewal: we do not charge you automatically. Each term is a separate payment that you choose to make, so there is nothing to cancel. A paid plan simply ends on its end date unless you pay for more time. You cannot move to the free plan while a paid plan is running.
Renewing and changing plans: paying for the same plan while it is running adds the time after its current end date. When you upgrade, the unused value of your current plan is credited towards the new one. When you move to a cheaper plan, no credit is given and your old plan closes. Add-ons end with the plan they were bought for.
When a plan ends: we send reminders before the end date, but there is no grace period. Your account moves to the free plan. Moving plans does not delete your records, but you may be unable to use some features or add new records past the free plan's limits. If you own more businesses than your plan allows, your oldest businesses stay open and the others cannot be opened by you or your staff until you upgrade or reduce the number of businesses.
Refunds: subscription fees are non-refundable except as set out in our Refund Policy.
6. Acceptable Use
You agree to use the Platform only for lawful business purposes and in accordance with these Terms. You must not: (a) use the Service to engage in fraudulent, deceptive, or illegal activities, or to sell goods or services that are illegal; (b) impersonate any person or entity or misrepresent your affiliation; (c) upload content that infringes third-party intellectual property rights; (d) attempt to gain unauthorized access to any part of the Platform or its underlying infrastructure; (e) use automated bots, scrapers, or scripts to extract data from the Platform without our prior written consent; (f) resell or sublicense access to the Service without authorization; (g) send spam, or send messages to people who have not agreed to hear from you or who have asked you to stop; (h) collect personal data through forms or any other feature without a lawful basis; (i) submit false documents, false identity details, or false reviews; or (j) engage in any conduct that could damage, disable, or impair the Platform or interfere with other users.
7. Content and Data Ownership
You retain full ownership of all business data, customer data, product listings, and content you submit to the Platform ("Your Content"). By submitting Your Content, you grant Snnel a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Service. We do not claim ownership of Your Content and will not sell it to third parties. You are solely responsible for the accuracy, legality, and appropriateness of Your Content.
People's data you enter: when you enter details about your customers, staff, suppliers, or the people who answer your forms, you are responsible for having a lawful basis to hold and use those details, and for answering their requests. We handle those details on your behalf, as described in our Privacy Policy.
Public content: store pages, product listings, logos, product photos, pictures in emails, and form links are made to be seen by others, so do not put private information in them. Anyone who has an invoice link can open that invoice, and anyone who scans a document's QR code can see the details it shows. Share them with care.
8. Payments and Payment Providers
Payments on the Platform are processed by licensed third-party providers, depending on your country. These include Hubtel, Paystack, Flutterwave, M-Pesa, pawaPay, CinetPay, DPO Pay, Paymob, Chapa, Chargily, Konnect, and YouCan Pay. When you make a payment, the relevant provider's terms apply in addition to these Terms. Snnel is not responsible for errors, delays, or failures arising from third-party payment infrastructure.
Your own gateway: you may connect your own account with a supported provider. Money paid through it goes directly to you, under your own agreement with that provider. You are responsible for that account, for its keys, and for refunds of money it received.
9. Collections, Wallet, Commission, and Payouts
This section applies where customers pay your business through Snnel's own payment accounts instead of your own gateway.
Wallet: we collect those payments for you and show what is due to you as a wallet balance. Money from an online marketplace order counts towards your balance once the order is delivered. A wallet balance is not a bank account or a deposit, and it earns no interest.
Commission and dues: we charge commission and other platform charges at the rates shown in the app, which can differ for online, POS, and cash sales. Charges on money we hold are taken from that money. Charges on sales we do not hold, such as cash sales or sales through your own gateway, are billed to you as a due. If your unpaid dues reach the limit shown in the app, we may restrict features such as Orders and Products until they are paid. We may record Snnel charges as expenses in your records.
Payouts: payouts are by mobile money or bank in Ghana, and are not available in every country or on every plan. Requests are reviewed by our team, and limits shown in the app apply. We check the name on the receiving account, and we may ask for further confirmation before saving it. We may delay a payout while we look into suspected fraud, an error, or a refund, and we may deduct refunds, reversals, and charges you owe from your balance.
10. Marketplace, Orders, and Refunds
Who the seller is: each store on the marketplace is the seller of its own goods and services, and the sale is between the shopper and that store. Snnel runs the marketplace and, where a payment goes through our accounts, collects the money as described in section 9. Stores are responsible for their listings, prices, stock, taxes, quality, delivery, and any promises they make.
Baskets and payment: a basket with items from several stores becomes one order per store. Cash on delivery is available only where a store offers it, and a mixed basket may be split. An online payment for one store may go to that store's own gateway. Payments for several stores go through our accounts.
Cancelling: a shopper can cancel an order while it is pending or confirmed. After that, the shopper needs to contact the store.
Refunds: a shopper who paid can request a refund within 7 days of delivery, from the order details. The store decides whether to approve it, following the marketplace return policy and any refund policy the store has published, and subject to the shopper's rights under the law. A store may also refund a paid order at any time. Where we hold the money, we send the refund to the shopper by mobile money, and a partial refund comes off the store's wallet. Where the store received the money directly or by cash on delivery, the store pays the refund. If a store does not respond, contact us and we will try to help, though we cannot decide every dispute.
Reviews: only buyers can review, and reviews are public. We may remove reviews that are false, abusive, or unlawful.
Your details: a store sees the details on orders placed with it, and sometimes the details entered before checkout, so that it can fulfil orders and follow up. A store must not use those details for any other purpose without a lawful basis.
11. Delivery and Riders
Stores set their own delivery areas and fees. A delivery fee and time shown at checkout come from the store's settings and are the store's responsibility.
If you register as a rider, you confirm that your identity and contact details are true, and that you hold any licence the law requires. When you are offered a delivery, you see the customer's name, the area, and the order. Once you accept it, and until it is finished, you also see the customer's phone, address, and location. You must use them only for that delivery and must not keep or share them. You are responsible for your own conduct, vehicle, and compliance with the law while delivering.
12. SMS, Email, and WhatsApp Communications
Messages to you: by registering on the Platform, you agree to receive service messages by SMS, email, WhatsApp, and app notification, such as sign-in codes, order and payment updates, plan reminders, setup help, and security alerts, from Snnel and its messaging partners. We may also send you news and offers about Snnel. Each marketing email has an unsubscribe link, and some message types can be switched off in your settings. Service messages such as sign-in codes and receipts will still be sent.
Messages you send: you are the sender of messages your business sends through the Platform, and you are responsible for having permission to contact each person, for the content of the message, and for following the law. You must stop contacting anyone who asks you to. People who unsubscribe from your emails are left out of your later email campaigns, and customers you mark as not wanting texts are left out of your SMS campaigns. We may block addresses that bounce or complain, and we may stop sending for a business whose messages bounce too often or cause complaints.
SMS and email credit: SMS and email use separate credit, and the price per message is shown in the app. Any monthly allowance on your plan does not carry over. Credit for a message that fails to send is returned to your balance. Credit is not money: it cannot be withdrawn, exchanged for cash, or moved to another account, and using it may require a plan that includes the feature.
WhatsApp: if you connect WhatsApp Business through the Platform, you are responsible for following Meta's WhatsApp policies and the data protection law that applies to you. The Snnel assistant on WhatsApp recognises you by your phone number, so anyone holding your phone may be able to use it for your account. Nothing it prepares is saved as a record until you confirm it.
13. AI Features
AI features can make mistakes. They may misread a document, a voice note, or an amount, or give a wrong answer. You must check what they produce before you rely on it, save it, publish it, or send it, and you are responsible for what you do with it. AI output is not financial, tax, legal, or other professional advice. Use of AI features is limited by your plan. To provide these features, we send the relevant content to our AI providers, as described in our Privacy Policy. Do not send content you have no right to share.
14. Connected Services
You can connect services such as Instagram, Facebook, TikTok, WhatsApp, WooCommerce, and Shopify. When you do, you authorize us to act with that service on your instructions, for example to publish posts, read comments and statistics, or sync products, orders, and stock. You are responsible for what is published from your account and for following that service's terms. We do not control these services and are not responsible for their availability or for changes they make. You can disconnect them at any time. Disconnecting stops new activity, but it does not remove records already in Snnel or undo anything already published.
15. Bills, Loans, Loyalty, and Other Tools
Bills and airtime: this is available in Ghana and is provided through Hubtel. You pay first, then we send the purchase to the provider. Check the number, meter, or account before paying, because a purchase sent to the wrong one may not be recoverable. If a purchase fails, contact support.
Loans: Snnel is not a bank or a lender. Loan readiness scores, borrowing figures, and application statuses are for guidance. They are not an offer or a promise of credit, and sending an application does not mean that you will receive a loan.
Loyalty and store credit: points and store credit belong to the programme each business runs. That business, not Snnel, is responsible for honouring them.
Opportunities and information: opportunities, compliance information, weekly plans, and blog posts are general information. Check the details with the source before you act on them.
16. Partner Programme
If you join our partner programme, you may earn commission on businesses that sign up through your link, and those businesses may get a discount, at the rates and minimum payout shown in the programme. Payouts are by mobile money and are approved by our team. You must describe Snnel honestly and must not spam people, make promises we have not made, or refer yourself. You will see limited details about businesses you referred, and you must keep them private. The programme terms shown on the partner pages also apply. We may withhold commission earned by breaking these rules and may end your participation.
17. Business Verification
Business verification is a paid check that may require a registration certificate and identity details, which may be checked against official records. You must only submit true documents and details you are entitled to use. A verification badge lasts for a limited period shown in the app, and we may remove it if details prove false or the verification expires. A badge means only that the checks we ran were passed at that time. It is not a guarantee of a business, its goods, or its conduct.
18. Records, Tax, and Payroll
The Platform helps you keep records, but you remain responsible for your books, tax returns, statutory payments, and employment duties. Taxes are off until you switch them on and set them up. Payroll starts from standard Ghana figures for income tax (PAYE) and social security (SSNIT), which you can change and which may be out of date, so check them before you pay anyone. Snnel does not file returns or make statutory payments for you. Reports, exchange rates, and calculations depend on the data entered and may contain errors. A QR code on a document shows what is recorded in Snnel. It does not confirm that a document is accurate or that the law has been followed. Please take professional advice where you need it.
19. Data Protection and Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Ghana Data Protection Act, 2012 (Act 843) in the collection, processing, and storage of personal data. Please review our Privacy Policy to understand our practices.
20. Intellectual Property
The Platform, including its design, software, trademarks, and all content created by Snnel (excluding Your Content), is the exclusive property of Snnel Technologies and is protected by Ghanaian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent. Designs and materials the Platform creates for your business may be used for that business.
21. Uptime, Maintenance, and Service Changes
We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance with or without notice. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. We will make reasonable efforts to notify users of significant changes with at least 14 days' notice where practicable.
Offline use: sales recorded offline stay on your device until it reconnects. If the device is lost, reset, or cleared first, they may be lost. Some mobile features require a recent version of the app, and we may ask you to update it.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Snnel and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages. Our total liability to you for any claim arising from use of the Service shall not exceed the subscription fees paid by you in the three (3) months preceding the claim.
This limit does not reduce any wallet balance that we hold and that is due to you, and nothing in these Terms limits any liability or right that cannot be limited under the law that applies to you.
23. Indemnification
You agree to indemnify, defend, and hold harmless Snnel, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from: (a) your use or misuse of the Service; (b) Your Content; (c) messages you send through the Platform; (d) goods or services you sell; (e) your violation of these Terms; or (f) your violation of any law or the rights of a third party.
24. Suspension and Termination
We reserve the right to suspend or terminate your account or business, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if your account poses a risk to the Platform or other users. A suspended store may be removed from the marketplace.
You can ask us to delete your account from the account deletion page in the app, or by contacting us. Your account stays active until our team acts on the request. An owner can also remove a business, and our team may be able to restore it. Before you ask us to delete anything, make sure you have downloaded what you need and have settled any dues, refunds, and wallet balance. Upon termination, your right to use the Service ceases. We may keep some records afterwards, as described in our Privacy Policy.
25. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall first be referred to mediation in Accra, Ghana. If mediation fails within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Ghana. If you live outside Ghana, this does not take away any consumer or data protection rights that the law of your country gives you and that cannot be excluded.
26. Changes to These Terms
We may update these Terms from time to time. We will notify registered users via SMS, email, or in-app notification at least 14 days before material changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. We encourage you to review these Terms periodically. This version takes effect on November 19, 2026 for existing accounts, and applies from sign-up to anyone who creates an account from November 5, 2026.
